Most of what a small business has to do is the same in every state: keep records, file federal returns, pay employees correctly. Then there is a layer that belongs to the state you operate in. Choice is based in Utah, so this is the layer we see most. Here is what is specific to running a business here, in plain terms. Rules and fees change, so treat this as the map, and check the current details with the agency or with us before acting.

Registering and renewing the business

Utah businesses register with the Utah Division of Corporations and Commercial Code. An LLC gets its certificate of organization there, and the state's online business registration also lets you set up the tax accounts you need in the same session.

The part owners forget: a Utah LLC has to be renewed every year. The renewal keeps the company in good standing with the state. Miss it and the LLC can lapse, which tends to surface at the worst moment, when a bank, a customer or a license office checks. Put the renewal month on the calendar the day the LLC is formed. We handle both the formation and the annual renewal for clients who would rather not track it.

Sales tax

If your business sells taxable goods, and certain services, you need a sales tax license from the Utah State Tax Commission, and you collect sales tax from customers on taxable sales and send it to the state on the schedule the Commission assigns you, which depends on how much tax you collect.

Two bookkeeping habits make sales tax painless. First, the tax you collect is not your money; record it as a liability, not as income, and set it aside. Second, keep sales taxable and non-taxable sales separate in your records, because the return asks for both. What is taxable in Utah, and the rate in your location, are questions worth asking once at the start rather than guessing at every sale.

State income tax

Utah has a state individual income tax. If your business is a sole proprietorship, a partnership, an LLC taxed by default, or an S corporation, the business profit flows to your personal return and Utah taxes it there. That also means the estimated payment habit described in our guide to quarterly estimated taxes applies at the state level too, not only federally.

Corporations and some pass-through entities have their own state filings. Which ones apply depends on your structure, and it is one of the questions we settle when a client starts with us.

If you have employees

Hiring in Utah adds two registrations: withholding with the Utah State Tax Commission, so the state income tax withheld from paychecks reaches the state, and unemployment insurance with the Utah Department of Workforce Services. Both come with periodic filings. Payroll providers handle the mechanics, but someone has to confirm the accounts exist, the rates are right and the filings go out, which is what payroll supervision is for.

Worker classification matters here as it does everywhere: an employee and a contractor are treated differently for withholding, unemployment insurance and workers' compensation, and the state has its own view of the difference.

Local licenses and the rest

Cities and counties in Utah issue business licenses separately from the state registration, and some professions need a state license as well. Those are outside bookkeeping, but their renewal dates and fees belong in the same calendar as the LLC renewal, and their receipts belong in the books.

What a Utah firm adds, and what it does not

Being based in Utah means we see these registrations, deadlines and forms every month and know which questions to ask a new client. It does not mean our clients have to be here. We work remotely with small businesses across the United States, in English and Spanish, and the records, reports and returns travel the same way wherever the business sits. If your business is in Utah, we speak the local language of forms; if it is elsewhere, we check the state layer for you as part of starting work.

Questions about this topic

Do I need a Utah sales tax license if I only sell services?

Many services are not taxable in Utah, but some are, and selling any taxable goods alongside a service changes the answer. Confirm your specific activity with the Tax Commission or ask us before you start collecting or not collecting.

When is the Utah LLC renewal due?

Every year, tied to the anniversary of the LLC's formation. The state sends reminders to the address on file, which is one reason to keep that address current.

Can Choice work with my business if it is not in Utah?

Yes. Everything we do happens remotely, and we check your own state's registrations and filings as part of onboarding.
